This agreement is made on this day between you and Believe Dream, LLC  Vendor [Referred to as Vendor] for ----- at  Believe Dream Luxury Ballroom ----- 3507 lee blvd suite 103

 

Payment/ Service Fees and Expiration date!

1.Thank you for choosing our Ballroom as your preferred venue. We also appreciate you taking the time to review our contract.

2.Please note that Believe Dream, LLC does not enter into any verbal agreements without receiving a deposit. A deposit of 30% is required, and the contract must be signed and submitted to secure your booking.  

After a client is  touring our venue and deciding to proceed with the booking process, clients will have 24 hours (1 day) to complete the invoice and contract. We cannot hold dates without a financial commitment. We hope you understand that no verbal bookings will be accepted without the required deposit. The remaining balance due 30 days prior to your event or client can do payment installment. If your event is within 30 days, a non-refundable FULL payment will be due to secure your date. 

  1. No dates will be held without an initial payment, no exceptions. The remaining balance must be paid at least 30 days prior to the event, failure of payment can result in the cancellation of event

  2.  Cancellation Policy:

In the event the Client cancels the Event within less 24 hours  of booking clients will receive full deposit money. After that 24 hours  all payments made by Client are NON-REFUNDABLE under all circumstances, No exceptions.

If the client decides to reschedule the event, BELIEVE DREAM, LLC must be notified at least 60 days prior to current contracted event date. Reschedules not made within 60 days of reserved date will not be allowed. Reschedule dates are not guaranteed as they are based on a first come first serve basis. BELIEVE DREAM, LLC will work with the client to find a new date that is available to reschedule the client to. In the case of a Force Majeure Event, where event can be rescheduled at a later time, all monies previously paid will be applied to event on mutually agreed upon rescheduled date. Payments are always due on dates specified in the contract for the full amount due.

  1.  All other payments are to be made on or by their due dates. If payments are not made on or by their due dates, client will incur a $100 fee for each week he/she is late. This applies to each scheduled payment. 

  2. Security deposit will be collected via cashier's check. A $300 is a  refundable incidental security deposit is required in the form of a cashier's check 3 days prior to event. Security deposit will be done by  

Dayana Guirano via cashier's check. Security deposit hold is $300. Security deposit is refundable only after completion of event and no losses or damages to the property have occurred. Client is subject to be billed for losses or damages that exceed total given for the security deposit. The Security Deposit shall be applied toward payment for repair or replacement of any property or premises damaged or lost during or in connection with the Event. Client shall be liable for any and all damage(s) to venue property caused by Client, any attendee of the Client, and / or any third parties contracted to assist Client. Prior to load in and load out, a walk-through of the Event Space will be conducted at the conclusion of the event to assess damages or missing items, if any. Management will then assess the damage if any and get back to the client within 2 - 3 business days with a damage assessment that includes the cost to the client. Unused portions of the Security Deposit will be returned to Client.  Client should expect a release of funds in their account after 5-10 business days from the day we confirm the return of security funds, if any.

Methods of Payment 

We accept cash, ONLY Zelle, and credit/debit cards. CHECKS AND AMERICAN EXPRESS ARE NOT ACCEPTED. Please note, that if you pay with a credit card, we will have to add a 3% credit card processing fee to your order. Please make checks out to Believe Dream, LLC. We must charge 6.5% FL tax no matter what form of payment you choose, tax discounts will not be given no excuses.

Insurance:

ALL CLIENTS and Vendors must obtain certificate naming Believe Dream, LLC as additional insured for the day of the event. 

Additional Fees & Rates:

  1. Rental pricing includes use of the spaces for your allotted time period, inclusive of setup and breakdown. Additional hours are available for purchase with advance notice and upon request for $200 per hour.

  2.  unscheduled over-time will be billed at $300 per hour. Events must end by 11:30pm. If client would like to extend their event time, a fee of $300.

  3. Event time must be extended as per client needs  before the big day. Before giving the final payment, please let us know if you would like to extend your time by one hour or two hours. The latest we allow for event time extensions is 2 am.

  4. All other furnishing is the responsibility of the renter. The client must designate an on-site representative who will be in contact with the venue as needed. 

  5. There's are a lot complimentary parking spaces available. 

  6. Staffing Security guard is required for events time pass 12am.

  7. We will provide a curated list of experienced vendors that we have worked with and trust, Renter may also choose to bring in their own vendors. All vendors must be licensed, insured before working in our space.

  8. A fee of $300 will be charged to the card on file for any furniture and/or rental equipment not picked up the same day of event in the event pick up time allotted to vendors, 1 hour after event end time.

  9. No confetti, rice, glitter, bird seeds, and/or flower petals are allowed on the premises. Failure to comply will result in a $300 fee. (No flames, No Confetti, Cleaning fee will be deducted from your deposit if glitter or confetti is left behind on the ground or floor)

  10. NO FROG MACHINE ALLOW IN OUR BALLROOM. WE ARE ALLOW ONLY DRY ICE MACHINE

  11. No open flame candles whatsoever. All candles must be in a glass covering, they can't be exposed due to the eminent risk of fire damage and or wax damage. If damage occurs, the damage will be assessed by Believe Dream and its employees, and we will get back to the client with a resolution fee.

  12. Renter may decorate to design an event to their preferred theme and colors. All decorations must be placed and removed without leaving any damage. The use of tacks, nails, and glue to hang decorations are prohibited.

  13. Client may bring in their desired catering company that is fully licensed and can provide certificate of insurance. We work with a team of preferred catering companies we can recommend for your event. Client must use a licensed bartender to serve alcohol

  14.   A small cleaning fee or $350 is required for the Believe dream staff to clean, sweep, mop and remove the trashes

Additions + Removals:

Additions to your order are always allowed as long as they are requested 30 days prior. Anything requested less than 30 days before your event is not guaranteed. We will always try our best to add-on for you but cannot guarantee vendor availability within 30 days of your event. Final guest counts must be in no later than 14 days. If you would like to add any guests above the 100-person guest count the price per person is $12 for tables and $6 extra for clear chair and $10 for Luxe chairs, only if clients are doing their own events. 

If Believe Dream is doing the decoration the addition guest price will  be between $50-100 person for decoration items and furniture.

 

Force Majeure:

BELIEVE DREAM, LLC shall not be held liable for any failure to perform its obligations or delay in performance of the same under this Agreement  where  such failure or delay is due to Acts of God causing cessation or slow-down of work, or inability to procure services or material after due and timely diligence, late deliveries or late performances of services from subcontractors or suppliers, breakdown  of  machinery, fire, flood, or accident or any cause beyond the reasonable control of BELIEVE DREAM, LLC whether or not similar to the causes specifically mentioned herein.

For purpose of this clause, an unforeseen occurrence or Force Majeure includes but is not limited to: acts of God, governmental regulation/authority/travel advisories or restrictions, war, disease (including pandemics such as Covid19), terrorism or threats of terrorism, disaster, fire, flood, earthquakes, hurricanes, tornados or other extreme weather events, systemwide power outages, or any other cause reasonably beyond the parties’ control, make it illegal or impossible for Believe Dream, LLC to hold the event.

If an event needs to be rescheduled due to an unforeseen occurrence (Force Majeure) falling during clients scheduled event date, Believe Dream, LLC will allow client to reschedule their event without any reschedule related fees. For COVID - 19 reschedules, client must make a call to proceed or postpone at least 2 weeks before the event date or they will incur a $500 fee charged to the card on file. Believe Dream, LLC will work with the client to find a mutually beneficial date within 16 months of contracted event date to reschedule to in the event of a Force Majeure situation. Meaning that you have 12 months after initial contract date to host your event. 

Music, Entertainment, Vendors: All vendors are allowed they just must have a license and insurance to operate. We ask that all outside vendors provide us their license and insurance. Load in time will be specified by Event Manager prior to day of event. Believe Dream, LLC may use any photos or videos taken at your event for marketing purposes (online or printed), including, but not limited to our website, Facebook, Instagram, Snapchat, Pinterest, TikTok.

COVID - 19: 

Believe Dream is an indoor venue and is allowed to be in operation during COVID - 19. Guests tables will be 6 feet apart. Depending on the current city mandated venue law we will only be able to seat from 8 - 10 per table. Depends on the current regulation at the time of the event. Guests can remove their masks when at their tables but must remain with them on during times of socializing or dancing. All staff will wear masks throughout the event in order to keep your guests safe.
 

Liability:

  1. BELIEVE DREAM, LLC. DOES NOT assume liability for loss, delay, theft, damage, or accident due to the fault of any subcontracted company. All vendors used for the event must provide valid proof of liability insurance of not less than $1,000,000 per occurrence for their employees, guests of events, and property. BELIEVE DREAM, LLC. is NOT liable for any incidents that may occur during the event. Such a certificate shall name, Believe Dream LLC as additional insured with respect to the Client function.

  2. BELIEVE DREAM, LLC can arrange for rental equipment, however, BELIEVE DREAM, LLC INC. is NOT responsible for damage or loss of rental equipment, and in the event that damage and/or losses do occur, the client will be billed  accordingly  for  the amount(s)  that  exceed damages not covered by the security deposit. All items are to  be used on a rental basis only. Any services, vendors, or supplies arranged for by the venue for the client’s event shall remain the responsibility of the client.

  3. Decor: Client understands that no alterations shall be made to the premises without the prior written consent of Believe Dream LLC All displays and/or decorations proposed by Client shall be subject to approval by Believe Dream LLC The Client, Event, or Exhibitor Company shall be responsible for compliance with all rules and regulations with respect to such decorations, including local fire codes. In the event Client enters into contract with any person or entity that provides décor for the event, Client must provide Believe Dream LLC with a certificate of insurance which states that the person or entity maintains Comprehensive Liability Insurance of not less than $1,000,000 per occurrence. 

  4. Such a certificate shall name, Believe Dream LLC, as additional insured with respect to the Client function. Believe Dream LLC reserves the right to remove any unauthorized décor at Believe Dream LLC's discretion, and charge Client for costs that may be incurred by Believe Dream LLC for the removal of the unauthorized décor.

  5. Client & clients guests agree to save the venue harmless from and to indemnify it against any claim or liability for any use arising in connection with the use of food or food products purchased, procured and/or prepared by client, its agents, servants, invitees, and employees. Client further agrees to hold venue harmless for any injury, loss, or damage to any person arising from the use of the venue space. The venue has several water features on the property in order for guests to enjoy them we can't close them off with fences etc. Please make sure to be aware of your surroundings and keep track of the children at all times. Guests are not allowed to go into the water features.

  6. Client assumes responsibility for the activities of the guests, invitees, vendors, and other persons attending the event and assumes liability for any and all damages they may cause.

Postponement Policy

If event is postponed, all services will cease at time of notification of postponement if no determined new date is provided. Payment schedule will be determined and readjusted post new event date notification. If client requires services to resume, post new event date being established, second payment will be required at time of service re-start.

 

Responsibility

BD, LLC is not responsible for Acts Of God, Natural Disasters, an Act Of Government such as A Declaration of National or Local Emergency, or Other Incidents Not within the control of the our company, i.e. accident, death in the family, illness, pregnancy, or sudden tragic circumstance. In such a situation, Vendor. will obtain, upon approval of the client, a qualified professional replacement to fulfill Vendor’s obligations under the contract, at no additional charge to the client.

 

Overtime

Additional unplanned and/or un-contracted services (such as, but not limited to, full redo of design, day of wedding extension of time, services outside of scope of agreement, management of non wedding day activities, etc) are considered overtime and will be billed with prior notification and consent at the rate of $300 per hour.

 

Extra Fee Costs & Fee

any items that belong to the venue must be rented out before using them.  A venue staff  will  approve them before using any items that are not include on her or his package to touch or sue without asking permission  by the BD staff!

 

Damage or Loss of Accessories

Client agrees to exercise all due care in caring for, and preserving the property . Clients shall remain responsible for all loss or damage to rentals, up to and including actual replacement value for each missing or damaged item per cost.

 

Attorney

If legal action is necessary to enforce the terms of this contract the prevailing party shall be entitled to reasonable attorney fees in additional to any other remedies to which that party might be legally entitled.

Breach of Contract Agreement: 

Client agrees that if he and/she breaches this agreement or fails to pay any portion of the consideration to BELIEVE DREAM, LLC., client will   be   liable   to   BELIEVE DREAM, LLC. for reasonable attorney’s fees, interests and  costs incurred by BELIEVE DREAM, LLC. in the process of  collection  any  balance  due. The client assumes responsibility for making suitable back-up arrangements for outdoor functions.

Dispute Resolution: Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, in lieu of going to Court, shall be settled by arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. A list of arbitrators shall be presented to the claimant and the respondent by the AAA from which one will be chosen using the applicable rules. 

The hearing shall be conducted in the State of Florida, City of Lehigh Acres, unless both parties consent to a different location, and the laws of the State of Florida shall apply. The arbitrator may proceed even in the absence of a party, provided that party had notice of the hearing. The arbitrator may award costs of collection activities, other costs, and legal fees to either party, but shall not be empowered to award special, punitive, or consequential damages.

Signatures: If you are in agreement with the contents of this contract, please sign on the space indicated below. We can't hold a date without a deposit. Your event is confirmed + date is saved once you pay the first payment + return a signed contract. Function Space is confirmed on a definite basis only after receipt of an executed Agreement and required initial payment is received. In WITNESS WHERE , Believe Dream LLC. and Client have caused this Agreement to be authorized, as of the date set forth below.
